This order form (Order Form) is issued pursuant to the Terms and Conditions (Terms) between Smart CCMS Pty Ltd ABN 68 680 794 638 (we, us or our) and you, together the Parties and each a Party. Unless otherwise defined in this Schedule, capitalised terms have the meanings given to them in the Terms.

Subject to each Party's right to terminate their Membership in accordance with the Terms, the Membership commences on the Commencement Date and will continue for 1 month (Initial Term). On the expiry of the Initial Term, the Membership will be automatically renewed for subsequent monthly periods (each a Renewal Period), unless either Party provides 30 days' written notice before the end of the Initial Term or the end of the then-current Renewal Period (as applicable) that it does not wish to renew the Membership.
The Services are the provision of our Software as a Service (which is described at click here)
The Price for the Membership plans you have selected is fee (including GST) per centre as follows:

The total subscription fee comprises the Base Rate plus the Child Rate multiplied by the number of children enrolled on the date the invoice is generated. Rates include GST.
You agree to pay our invoices by Direct Debit through our chosen Payment Gateway. Invoices will be made available to you (you will be notified by email). You are responsible for payment of all taxes, levies, and duties in addition to the Subscription Fee. There are no refunds or credits for partial months of service.
Our preferred method of payment is by direct debit. This simplifies the process and saves time. We encourage you to register for direct debit payments by clicking the registration button and completing the online registration process.
A Direct Debit register token has not been setup. Kindly request one from your representative.This Order Form will be subject to, governed by, and will incorporate the Terms. To the extent there is any ambiguity, discrepancy, or inconsistency in or between the Terms and this Order Form, the Terms will prevail. Each Party, upon its acceptance of the Terms, is bound by, and must comply with, its respective obligations under this Order Form and the Terms.
